What you can expect from us, what we need from you, and how payment, ownership and cancellation work.
In short: what you can expect from me, what I need from you, and how payment, ownership and cancellation work. Anything specific to your project will be set out in your own proposal or quote, and that takes precedence over this page.
1. About us
StudioEDT ("we", "our" or "us") provides freelance social media management, content creation, social media strategy, consulting and related digital marketing services to businesses and individuals worldwide.
2. Using this website
By using this website, you agree to:
- Use the website lawfully and respectfully
- Not attempt to disrupt, damage or gain unauthorised access to the website
- Not reproduce, copy, distribute or exploit website content without written permission
We may modify, suspend or discontinue any part of the website without prior notice.
3. Services
Services we offer may include, but are not limited to:
- Social media management
- Content creation
- Content scheduling
- Social media audits
- Strategy development
- Community engagement
- Analytics and reporting
- Consulting
Specific deliverables, timelines, pricing and project details are set out in your individual proposal, quotation, invoice or service agreement.
4. Quotes and proposals
All quotations and proposals are given in good faith, based on the information available at the time.
Quotes are valid for thirty (30) days unless stated otherwise.
Work requested outside the agreed scope may carry an additional charge.
5. Payments
Payment terms are agreed before work begins. Unless we agree otherwise:
- Invoices are payable within seven (7) calendar days
- Work begins once any required deposit has been received
- Late payment may result in delays, suspension of services or termination
- Invoices are issued in US Dollars or Pounds Sterling, as agreed before work begins
- Clients cover any transaction, currency conversion, banking or international transfer fees
All fees are stated in the agreed currency and are non-refundable unless the law requires otherwise.
6. What we need from you
Clients agree to:
- Provide accurate information and any materials the project needs
- Give feedback and approvals within 72 hours of each content batch, not counting weekends or public holidays
- Make sure they hold the legal rights to any content, images, trademarks, logos or materials they supply
StudioEDT is not liable for delays caused by information, approvals or feedback not arriving in time. Where approval is outstanding, the publishing schedule moves back by the length of the delay, and posts that miss their date are not carried over or refunded. Nothing is published to your accounts without your approval.
Standalone services, such as an audit, a newsletter or a content strategy document, include two rounds of revision: one round of consolidated feedback, then that feedback applied with any final minor amendments. Content batches on a monthly package work differently. Three rounds of revision are included on every content batch. Round one is your consolidated feedback across the batch. Round two is that feedback applied, plus one further change on any individual post. Round three is final minor amendments only, provided they do not affect the scheduled publishing date. Batches are delivered weekly on every package. Once a post is approved it publishes as scheduled unless you ask for a change at least 72 hours beforehand.
Content is shared for review in a private content space we set up for you at the start of the work. Access costs you nothing and you do not need to create an account of your own. Approving, rejecting or commenting on a post there counts as approval in writing for the purposes of these terms. We may change the platform we use on reasonable notice, provided your access stays free and the process does not materially change. Brand files and documents are uploaded to the same content space, using a link that needs no account.
7. Intellectual property
All content, graphics, designs, strategies, templates and materials created by StudioEDT remain our property until payment has been received in full.
Once payment is complete:
- You receive ownership or usage rights to the agreed deliverables
- StudioEDT may display completed work in portfolios, marketing materials, case studies and promotional content, unless we agree otherwise in writing
Any third-party assets remain subject to their own licences and ownership.
8. Revisions
Revision limits are set out in the relevant proposal or package. Additional revisions beyond the agreed scope may carry a further fee.
9. Accounts and platform access
Where we manage social media accounts, you may need to grant access through approved methods.
Clients remain solely responsible for:
- Ownership of their social media accounts
- Compliance with each platform's policies
- Security of their account credentials
We take reasonable measures to protect account information but cannot guarantee the security of third-party platforms.
10. Performance
We aim to deliver professional work and best-practice recommendations, but we cannot guarantee:
- Follower growth
- Engagement levels
- Lead generation
- Sales performance
- Advertising results
- How platform algorithms behave
Results vary with industry, market conditions, competition, audience behaviour and platform updates.
11. Confidentiality
Both parties agree to keep confidential any non-public business, financial, marketing or operational information shared during the work.
Confidential information will not be shared with third parties unless the law requires it or the other party agrees.
12. Term, cancellation and termination
Monthly packages. Your first month is a trial month. After that, work continues in three (3) month terms unless a longer term is agreed in writing. A term renews automatically unless either party gives thirty (30) days written notice before it ends.
Cancelling during the trial month. You may end the arrangement at any time during your first month. Payment is due for that month only.
Cancelling mid-term. Because a term reserves studio capacity that is turned away from other clients, the balance of the term you committed to remains payable:
- On a three (3) month term, the remaining months of that term are payable
- On a term of six (6) months or longer, fifty percent (50%) of the remaining months is payable
Reduction where the capacity is replaced. If StudioEDT takes on another client for the released capacity before the term would have ended, the amount payable is reduced by the fees received from that client for the overlapping months. This charge is intended to cover genuine loss, not to penalise you for leaving.
Statutory cancellation rights. Nothing above limits any right you have to cancel a fixed-term agreement under section 14 of the Consumer Protection Act 68 of 2008, where that Act applies to you.
Standalone services are once-off and are not subject to a term. Once work has started, fees for work already done remain payable.
Where work has already been done, payment remains due for services delivered up to the termination date. We may end services immediately if:
- Payment obligations are not met
- Abusive, threatening or inappropriate conduct occurs
- Work is requested that would breach applicable laws or platform policies
On termination, account access granted to StudioEDT should be removed by you, and any content already paid for remains yours.
13. Limitation of liability
To the fullest extent the law allows, StudioEDT is not liable for:
- Indirect or consequential losses
- Loss of profits, revenue, business opportunities or reputation
- Actions taken by third-party platforms
- Account suspensions, restrictions or algorithm changes
Our total liability will not exceed the total fees paid for the services that gave rise to the claim.
14. Third-party services
This website and our services may reference or connect to third-party platforms, tools, software or websites. StudioEDT is not responsible for their content, availability, security or practices.
15. Governing law
These Terms and Conditions are governed by and interpreted in accordance with the laws of the Republic of South Africa.
Any disputes arising from these Terms fall under the jurisdiction of the South African courts.
16. Changes to these Terms
We may update these Terms and Conditions at any time. Changes take effect as soon as they are published on this website, and continuing to use the website or our services means you accept the revised Terms.
